Introduction

Welcome to SimpliHost, a short-term rental management and automation platform (the "SimpliHost Platform"). The SimpliHost Platform is owned and operated by SimpliHost Inc., a Wisconsin C-Corporation ("Company," "SimpliHost," "we," "us," or "our").

Please read these Terms of Service ("Terms") carefully before using the SimpliHost Platform. By accessing or using the SimpliHost Platform in any way, including through execution of a subscription or service agreement (the "SimpliHost Agreement"), the customer ("Customer" or "you") agrees to be bound by these Terms. The SimpliHost Agreement is incorporated into these Terms by reference.

IMPORTANT NOTICE: SIMPLIHOST OPERATES AS A TRIGGER AND AUTOMATION LAYER BETWEEN YOU AND THIRD-PARTY BOOKING CHANNELS, CHANNEL MANAGEMENT INFRASTRUCTURE, AND PAYMENT PROCESSORS. WE DO NOT GUARANTEE THE AVAILABILITY, ACCURACY, OR CONTINUITY OF ANY THIRD-PARTY SERVICE. PLEASE REVIEW SECTIONS 10 AND 15 CAREFULLY.

1. About the SimpliHost Platform

1.1 Platform Overview

The SimpliHost Platform provides short-term rental hosts with property management, automation, and messaging tools designed to streamline the management of rental properties ("Properties") and guest communications. SimpliHost functions as a trigger and automation layer, connecting your listings and reservations to supported third-party booking channels and payment infrastructure on your behalf.

1.2 Booking Channel Integrations

The SimpliHost Platform integrates with third-party online travel agencies and booking platforms, currently including Airbnb, VRBO, and Booking.com (each a "Booking Channel," collectively "Booking Channels"). SimpliHost may add, modify, or discontinue support for specific Booking Channels at any time. We will provide at least fourteen (14) days' advance notice of material changes to supported channels where reasonably practicable; where a change is driven by the Booking Channel itself and outside SimpliHost's control, we will notify you as soon as practicable. We are not liable for any interruption, delay, or discontinuation of any Booking Channel integration.

SimpliHost connects to Booking Channels through proprietary backend infrastructure and third-party channel management technology. This infrastructure is not visible to or managed by you. You acknowledge that the availability and accuracy of channel connections depend on factors outside SimpliHost's direct control.

1.3 Customer Account

Each Customer receives an account ("Account") through which they can manage their Properties, automations, messaging, and integrations. The primary account holder ("Admin User") is responsible for all activity conducted under the Account. The Admin User may grant access to additional team members, subject to the permissions the Admin User assigns.

1.4 Add-On Services

SimpliHost may offer additional services including guest communication tools, a direct booking website ("Booking Engine"), and payment processing services (collectively, "Add-On Services"). Use of Add-On Services may be subject to additional terms, and relevant Account information may be shared with third parties as necessary to provide those services.

1.5 SMS Messaging

By creating an Account and checking the SMS consent box during registration, you consent to receive text messages from SimpliHost, including account setup, reservation details, door access codes, property directions, cleaning instructions, and maintenance alerts. Message frequency varies. Message and data rates may apply. To opt out, reply STOP to any message. To request help, reply HELP or contact admin@simplihost.com.

2. Registration and Account Creation

2.1 Registration

To use the SimpliHost Platform, you must register and create an Account. You agree to provide accurate, current, and complete information during registration and to keep that information up to date. SimpliHost reserves the right to accept or decline any registration application at its sole discretion. Our decision is final.

If we believe registration information is false, incomplete, or that you have violated these Terms, we reserve the right to suspend or terminate your application or Account in accordance with Section 6.3.

2.2 Account Responsibilities

You are solely responsible for:

  • Maintaining the confidentiality of your Account login credentials
  • All activity that occurs under your Account, including actions taken by any team members you grant access to
  • Ensuring that all users of your Account comply with these Terms
  • Promptly notifying SimpliHost of any unauthorized access to or use of your Account

SimpliHost is not liable for any loss or damage arising from your failure to maintain the security of your Account credentials.

3. Third-Party Services and Integrations

3.1 Booking Channel Integrations

SimpliHost connects your Account to supported Booking Channels on your behalf. To maintain these integrations, you may be required to authorize SimpliHost to act on your behalf with respect to your listings, reservations, and related data on each Booking Channel. You are solely responsible for ensuring your accounts with each Booking Channel remain active, in good standing, and properly authorized.

SimpliHost is not responsible for, and accepts no liability arising from:

  • Any interruption, downtime, error, or change in functionality of any Booking Channel
  • Loss of reservations, revenue, or data resulting from a Booking Channel outage or policy change
  • Duplicate, missing, or incorrectly transmitted reservations caused by a Booking Channel or any intermediate infrastructure
  • Changes to Booking Channel terms, commission structures, or listing requirements
  • Your account being suspended, restricted, or terminated by any Booking Channel

You acknowledge that SimpliHost acts as a trigger and pass-through layer. We transmit data between your Account and Booking Channels in good faith but cannot guarantee the accuracy, completeness, or timeliness of data received from or sent to any Booking Channel.

3.2 Channel Management Infrastructure

SimpliHost utilizes proprietary backend channel management infrastructure to facilitate connections between your Account and Booking Channels. This infrastructure operates behind the scenes and is not disclosed to Customers. You acknowledge that:

  • The availability of channel connections depends in part on third-party infrastructure that SimpliHost does not own or control
  • Outages, errors, or failures in that infrastructure may affect the SimpliHost Platform and your reservations
  • SimpliHost is not liable for any loss, duplicate reservation, missed reservation, or revenue impact caused by such infrastructure failures

3.3 Payment Processing

Payment processing for VRBO and Booking.com reservations is facilitated through our then-current Payment Processor(s). As of the date of these Terms, SimpliHost uses Stripe, Inc. as its Payment Processor. SimpliHost may change its Payment Processor with at least thirty (30) days' advance written notice to you. Airbnb manages its own payment processing independently and outside of SimpliHost's payment infrastructure.

You acknowledge and agree that:

  • The Payment Processor's own terms of service and privacy policy govern all payment processing activity
  • SimpliHost is not liable for any error, failure, delay, or security breach related to any Payment Processor
  • All fees charged by the Payment Processor, including transaction fees, are your responsibility and are separate from SimpliHost's platform fees
  • SimpliHost may, in the future, pass through certain third-party processing costs as part of its fee structure. You will be notified at least thirty (30) days in advance of any such change.
  • You are solely responsible for all tax filings, withholdings, and remittances related to payments processed through the platform

3.4 Third-Party Service Providers

SimpliHost may integrate with third-party tools and service providers such as cleaning services, key exchange services, and other property management tools. SimpliHost does not screen, endorse, or guarantee the qualifications, licensing, or performance of any third-party provider. All engagements with third-party providers are solely between you and that provider.

4. Fees and Payment Terms

4.1 Platform Fees

Use of the SimpliHost Platform is subject to the fees, subscription tiers, and payment terms set forth in your SimpliHost Agreement. Fees are charged in U.S. dollars unless otherwise agreed in writing.

4.2 Booking-Based Fees

Where fees are calculated based on reservation value, those fees are determined using the booking data reported to SimpliHost by the applicable Booking Channel. You are responsible for ensuring the accuracy of that data. SimpliHost is not liable for discrepancies arising from inaccurate data provided by Booking Channels.

4.3 Changes to Fees

SimpliHost may modify its fee structure from time to time. We will provide at least thirty (30) days' advance notice of any material fee changes, by email or in-platform notification. Your continued use of the SimpliHost Platform following such notice constitutes acceptance of the revised fees.

4.4 Payment Method

You must maintain a valid payment method on file. By providing payment information, you authorize SimpliHost to charge applicable fees as they become due. You are responsible for keeping billing information current and accurate.

4.5 Late Payment

Fees not paid within seven (7) calendar days of their due date are considered overdue and may result in suspension of your Account. Fees not paid within fourteen (14) calendar days of their due date constitute a material breach of these Terms. Overdue amounts may accrue interest at a rate of 0.75% per month. You agree to reimburse SimpliHost for any reasonable costs incurred in collecting overdue fees, including attorney fees.

4.6 Refunds

Fees are charged on a monthly basis. If you cancel your Account, your access to the SimpliHost Platform will continue through the end of your current paid billing period, after which your Account will be deactivated. No refunds or credits are provided for partial months, unused features, or any remaining portion of a prepaid period.

5. Reservation Cancellations

SimpliHost does not charge platform fees in connection with the cancellation of individual guest reservations. All guest-facing cancellation policies, fees, and refund determinations for reservations made through Airbnb, VRBO, Booking.com, or any other Booking Channel are governed solely by that Booking Channel's own policies and are outside SimpliHost's control.

For reservations processed through direct booking or payment infrastructure connected to SimpliHost, any cancellation-related payment processing fees charged by the Payment Processor (including Stripe) are the responsibility of the Customer and are separate from SimpliHost's platform fees.

SimpliHost is not liable for any loss of revenue, guest disputes, or penalties arising from the enforcement of any Booking Channel's cancellation policy.

6. Term and Termination

6.1 Term

These Terms remain in effect on a rolling monthly basis from the date your Account is activated and continue until terminated by either party in accordance with this section.

6.2 Termination by Customer

You may terminate your Account at any time by submitting a cancellation request through the SimpliHost Platform or by contacting SimpliHost support. Upon confirmation of your cancellation request, your Account will remain active through the end of your current paid billing period. No refunds are provided for the remaining portion of a paid period. There are no early termination fees.

6.3 Termination by SimpliHost

SimpliHost may suspend or terminate your Account according to the following tiered notice structure:

Immediate suspension or termination with no advance notice:

SimpliHost may immediately suspend or terminate your Account, without prior notice, only where we reasonably determine that you have:

  • Engaged in fraud, deception, or material misrepresentation in connection with your Account or any reservation
  • Violated applicable law in a manner that creates immediate legal exposure for SimpliHost or third parties
  • Taken action that poses a direct and material security threat to the SimpliHost Platform or other users

Suspension with 48-hour cure notice:

For the following violations, SimpliHost will provide written notice and a 48-hour opportunity to cure before suspension takes effect:

  • Failure to pay fees when due
  • Breach of any provision of the Acceptable Use policy in Section 9
  • Violation of the terms of any connected Booking Channel that affects SimpliHost's integrations

Termination at SimpliHost's convenience:

SimpliHost may terminate your Account for any other reason or for no reason upon thirty (30) days' written notice. In such cases, you will not owe any additional fees beyond the current billing period.

6.4 Effect of Termination

Upon termination, you must promptly pay all outstanding fees. SimpliHost may permanently delete your Account data following termination. Subject to payment of all outstanding amounts, SimpliHost will make reasonable efforts to export and provide a copy of your Account data upon written request submitted within thirty (30) days of termination.

7. Add-On Services

7.1 Guest Communication Service

SimpliHost may offer automated or managed guest communication tools. You acknowledge that automated responses depend on the information and guidelines you provide. SimpliHost is not responsible for incomplete, inaccurate, or delayed communications resulting from insufficient information provided by you, Booking Channel outages, or downstream infrastructure failures.

7.2 Direct Booking Website (Booking Engine)

SimpliHost may provide tools to create and manage a direct booking website. You are solely responsible for all content published on your booking website and for ensuring compliance with all applicable laws, including data protection, accessibility, and consumer protection laws. SimpliHost is not responsible for guest-facing content, pricing accuracy, or booking errors arising from your website configuration.

7.3 Payment Processing for Direct Bookings

Payment processing for direct bookings is facilitated through our then-current Payment Processor. All Payment Processor terms, fees, and conditions apply as described in Section 3.3.

7.4 General Disclaimer for Add-On Services

All Add-On Services are provided on an as-is, as-available basis. SimpliHost does not warrant that Add-On Services will be error-free, uninterrupted, or meet any specific performance standard. You are responsible for reporting any errors or inaccuracies you become aware of.

8. Technical Support

SimpliHost will provide technical support during regular business hours as communicated to you at the time of onboarding or as updated from time to time. We will make good-faith efforts to respond promptly to support requests. However, SimpliHost does not guarantee specific response times or resolution outcomes. We are not obligated to provide support for issues arising from third-party platform failures outside our control.

9. Acceptable Use

When using the SimpliHost Platform, you agree not to:

  • Violate any applicable law, regulation, or third-party agreement
  • Interfere with or disrupt the functionality or security of the SimpliHost Platform
  • Attempt to access, reverse engineer, or exploit any part of the platform infrastructure
  • Use automated tools to scrape, harvest, or collect data from the platform
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity
  • Use the platform in a way that violates the terms of any connected Booking Channel
  • Submit false, misleading, or fraudulent information in connection with your Account or any reservation

SimpliHost reserves the right to suspend or terminate your Account in accordance with Section 6.3 if we reasonably believe you have violated this section.

10. Platform Availability and Service Limitations

10.1 As-Needed, As-Available Service

The SimpliHost Platform is provided on an as-needed and as-available basis. SimpliHost does not guarantee continuous, uninterrupted, or error-free access to the platform or any of its features. Access to the platform may be affected by factors outside our control, including but not limited to:

  • Downtime, outages, or errors originating from Airbnb, VRBO, Booking.com, or any other Booking Channel
  • Failures or delays in backend channel management infrastructure
  • Payment Processor outages or errors
  • Internet or telecommunications infrastructure failures
  • Scheduled or unscheduled maintenance

SimpliHost is not liable for any loss of reservations, revenue, guest communications, or data arising from platform unavailability, regardless of the cause.

10.2 Duplicate and Missing Reservations

SimpliHost operates as a data trigger and pass-through layer between your Account and connected Booking Channels. While we take reasonable steps to ensure accurate data transmission, we cannot guarantee against duplicate reservations, missing reservations, or data sync errors caused by Booking Channel delays, API failures, or channel management infrastructure issues. SimpliHost is not liable for any damages, losses, or guest disputes arising from such errors.

10.3 Scheduled Maintenance

SimpliHost may temporarily suspend platform access for maintenance. We will provide at least 48 hours' advance notice for planned maintenance windows where reasonably practicable. Maintenance windows do not entitle you to a refund or fee credit.

10.4 Changes to the Platform

SimpliHost may modify, update, or discontinue features of the platform at any time. We will provide at least thirty (30) days' advance notice of material feature changes or discontinuations. Continued use of the platform following any change constitutes your acceptance of that change.

11. Data, Privacy, and Compliance

11.1 Guest and Customer Data

By using the SimpliHost Platform, you authorize SimpliHost to process guest and customer personal data as necessary to provide the platform services. SimpliHost acts as a data processor in this context; you remain the data controller and are solely responsible for ensuring that any personal data you provide to SimpliHost has been collected and transferred lawfully.

11.2 Data Protection Compliance

You are solely responsible for compliance with all applicable data protection and privacy laws in connection with your use of the SimpliHost Platform, including but not limited to the California Consumer Privacy Act (CCPA), the General Data Protection Regulation (GDPR), the UK GDPR, and any other applicable federal, state, or international privacy laws.

To the extent SimpliHost processes personal data of individuals located in the European Economic Area or the United Kingdom on your behalf, the parties acknowledge that you act as the data controller and SimpliHost acts as a data processor under applicable law. SimpliHost will process such data only in accordance with your lawful instructions and will implement appropriate technical and organizational measures to protect that data. A Data Processing Agreement (DPA) is available upon request and may be required in certain jurisdictions.

SimpliHost's sub-processors include, without limitation, our then-current Payment Processor and backend channel management infrastructure providers. A current list of sub-processors is available upon request.

SimpliHost's Privacy Policy, incorporated into these Terms by reference, describes how we collect and handle data.

11.3 Regulatory Compliance

You are solely responsible for ensuring that your use of the SimpliHost Platform, your property listings, and your rental activities comply with all applicable local, state, and federal laws, including short-term rental regulations, licensing requirements, tax obligations, and homeowners association rules.

11.4 Data Backups

While SimpliHost takes reasonable steps to back up Account data, data backup is provided as a courtesy. You remain solely responsible for maintaining your own backups of any critical business data.

12. Taxes

SimpliHost's fees do not include sales tax, use tax, or any other applicable tax. Where required by law, applicable taxes will be added to your invoice. You are solely responsible for all tax obligations arising from your rental income, including filing, withholding, and remittance of all applicable taxes to the relevant authorities.

13. Intellectual Property

All rights, title, and interest in and to the SimpliHost Platform, including its software, design, code, branding, trademarks, and proprietary content, are owned exclusively by SimpliHost Inc. You may not copy, reproduce, modify, reverse engineer, distribute, or create derivative works from any part of the SimpliHost Platform without our express written consent. Nothing in these Terms grants you any ownership interest in the platform or its underlying technology.

14. Confidentiality and Data Use

14.1 SimpliHost Confidentiality Obligations

SimpliHost acknowledges that in the course of providing the platform services, it may receive or have access to information that is confidential and proprietary to you, including but not limited to business data, revenue figures, guest lists, pricing strategies, property details, and account activity ("Confidential Information").

SimpliHost agrees to:

  • Use Confidential Information solely to provide and improve the SimpliHost Platform and related services
  • Not disclose Confidential Information to third parties except as necessary to deliver the platform services (including to sub-processors), as required by applicable law, or as expressly authorized by you
  • Implement reasonable technical and organizational measures to protect Confidential Information from unauthorized access or disclosure

14.2 Exclusions

SimpliHost's confidentiality obligations do not apply to information that:

  • Is or becomes publicly available through no fault of SimpliHost
  • Was already known to SimpliHost prior to disclosure by you
  • Is independently developed by SimpliHost without use of your Confidential Information
  • Is required to be disclosed by applicable law, regulation, or court order, provided SimpliHost provides you with reasonable prior notice where legally permissible

14.3 AI and Automation Training

SimpliHost uses automated tools, machine learning models, and AI systems to provide and improve platform features, including guest communication automation, smart scheduling, and operational suggestions.

By using the SimpliHost Platform, you acknowledge and agree that SimpliHost may use data derived from your Account activity, including reservation data, messaging patterns, property configurations, and operational workflows, to train, develop, and improve SimpliHost's AI and automation systems. This use is limited to improving platform functionality and is subject to the confidentiality obligations set out in Section 14.1. SimpliHost will not use your individually identifiable business data to train models that are made available to third parties in a form that could identify you or your business.

If you do not wish your Account data to be used for AI training purposes, you may opt out by contacting SimpliHost support. Opting out may limit access to certain AI-powered features.

15. Amendments

SimpliHost may revise these Terms at any time. We will provide at least thirty (30) days' advance notice of material changes, by email or in-platform notification. Your continued use of the SimpliHost Platform following notice of revised Terms constitutes your acceptance of those revisions. The current version of these Terms will always be available on the SimpliHost website.

16. Disclaimer of Warranties

The SimpliHost Platform and all Add-On Services are provided on an "as is" and "as available" basis, without warranty of any kind. SimpliHost expressly disclaims all warranties, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, reliability, availability, and non-infringement.

SimpliHost makes no warranty that the platform will be uninterrupted, error-free, or free from duplicate or missing reservation data. SimpliHost makes no warranty regarding the performance or availability of any third-party booking channel, channel management infrastructure, payment processor, or other third-party service connected to the platform.

17. Limitation of Liability

To the maximum extent permitted by applicable law, SimpliHost Inc., its officers, directors, employees, contractors, and agents shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of revenue, loss of reservations, loss of profits, loss of data, or loss of business opportunities, arising from or related to:

  • Your use of or inability to use the SimpliHost Platform
  • Any Booking Channel outage, error, policy change, or account action
  • Duplicate, missing, or incorrectly synced reservations
  • Any failure or error in any Payment Processor
  • Any failure in backend channel management infrastructure
  • Any third-party service provider performance or failure
  • Unauthorized access to or alteration of your Account or data

In no event shall SimpliHost's total aggregate liability to you exceed the total fees paid by you to SimpliHost in the three (3) months immediately preceding the event giving rise to the claim. This limitation applies regardless of the theory of liability and even if SimpliHost has been advised of the possibility of such damages.

18. Indemnification

18.1 Customer Indemnification of SimpliHost

You agree to indemnify, defend, and hold harmless SimpliHost Inc., its officers, directors, employees, contractors, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable attorney fees) arising from or related to:

  • Your use of the SimpliHost Platform or any Add-On Services
  • Your violation of these Terms
  • Your property listings, rental activities, or guest interactions
  • Your violation of any applicable law or third-party right
  • Any content you submit, publish, or transmit through the platform

18.2 SimpliHost Indemnification of Customer

SimpliHost agrees to indemnify, defend, and hold harmless you and your officers, directors, employees, and agents from and against any third-party claims, damages, losses, costs, and expenses (including reasonable attorney fees) arising directly from:

  • SimpliHost's gross negligence or willful misconduct in providing the SimpliHost Platform
  • SimpliHost's infringement of any third-party intellectual property rights in connection with the SimpliHost Platform itself (excluding any content or data you provide)

SimpliHost's indemnification obligations are subject to the limitation of liability set forth in Section 17 and do not apply to claims arising from your acts, omissions, or content.

19. Force Majeure

Neither party shall be liable for any delay or failure to perform its obligations under these Terms to the extent that such delay or failure is caused by circumstances beyond that party's reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, government action, widespread internet or telecommunications infrastructure failures, or power outages (each a "Force Majeure Event").

The affected party's obligations under these Terms are suspended for the duration of the Force Majeure Event, provided that the affected party notifies the other party as soon as reasonably practicable. SimpliHost will make reasonable efforts to restore platform availability during a Force Majeure Event. If a Force Majeure Event affecting SimpliHost's ability to provide the platform persists for more than sixty (60) consecutive days, either party may terminate these Terms upon written notice, without penalty.

20. Governing Law and Dispute Resolution

20.1 Governing Law

These Terms and any dispute arising from your use of the SimpliHost Platform are governed by and construed in accordance with the laws of the State of Wisconsin, without regard to its conflict of law principles.

20.2 Dispute Resolution

Any dispute, claim, or controversy arising from or relating to these Terms or your use of the SimpliHost Platform that cannot be resolved informally shall be submitted to binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration shall take place in Wisconsin or by remote proceedings. Judgment on any arbitration award may be entered in any court of competent jurisdiction.

You and SimpliHost each agree that any dispute will be resolved on an individual basis only. Class actions, class arbitrations, and representative proceedings are not permitted.

20.3 Small Claims

Notwithstanding the above, either party may bring an eligible claim in small claims court in lieu of arbitration.

21. General Provisions

21.1 Entire Agreement

These Terms, together with your SimpliHost Agreement and any incorporated policies, constitute the entire agreement between you and SimpliHost regarding the platform and supersede all prior agreements and understandings. In the event of a conflict between these Terms and your SimpliHost Agreement, the SimpliHost Agreement controls.

21.2 Severability

If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

21.3 No Waiver

SimpliHost's failure to enforce any provision of these Terms does not constitute a waiver of its right to enforce that provision in the future.

21.4 Assignment

You may not assign your rights or obligations under these Terms without SimpliHost's prior written consent. SimpliHost may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets, upon notice to you.

21.5 Survival

Sections relating to fees, intellectual property, confidentiality, disclaimers, limitation of liability, indemnification, governing law, and any other provisions that by their nature should survive termination will continue in effect after these Terms end.
